The Formula FZ-LLC | Version dated 23 October 2026

Common provisions

1. Provider

The Formula FZ-LLC — FOAM1926, Compass Building, Al Shohada Road, Al Hamra Industrial Zone-FZ, Ras Al Khaimah, United Arab Emirates. Email: hello@the-formula.io. Legal representative: Gabriel Burguière, Manager.

2. Purpose

These Terms govern access to The Formula's offers: an automated LinkedIn prospecting system powered by an AI agent, bundled — depending on the chosen plan — with access to a training platform, a private community and coaching sessions. The Formula offers four families of plans, detailed below:

Self-service Launch, Scale and Elite subscriptions, billed monthly or annually (Part I).

Lifetime access: one-time payment + monthly infrastructure subscription (Part II).

Essential coaching program: 2 months (Part III).

Premium coaching program: 3 months, Elite level included for up to 3 LinkedIn accounts (Part IV). Custom Enterprise support may also be ordered (Part V), without replacing the Essential and Premium offers. Any order implies full acceptance of these Terms.

3. Definitions

Client: any individual or legal entity subscribing to an offer.

Consumer: a Client who is a natural person acting for purposes outside their professional activity.

Professional / Business Client: a Client acting within their commercial, self-employed or professional activity.

AI Agent: the automated LinkedIn prospecting and content-creation software provided by The Formula.

Infrastructure: the technical connection to the Client's LinkedIn account and the AI credits required for the Agent to operate (generation of messages, posts, images).

Subscription: recurring access billed monthly or annually depending on the selected billing period.

Account: a LinkedIn account connected to The Formula; each connected LinkedIn account corresponds to a separate The Formula account.

4. Intellectual Property

All tools, methods, training content, scripts, prompts, templates and materials remain the exclusive property of The Formula. The Client receives a personal, non-transferable right of use, limited to the duration of their access. The Client agrees not to assign, share, resell or reproduce this content.

5. Personal data and confidentiality

For account, billing and business relationship management data, The Formula is the controller and informs individuals through its privacy notice (app.the-formula.io/privacy). For prospect data processed exclusively for the Client's campaign, the Client acts as controller and The Formula as processor within the meaning of Article 28 GDPR, under Annex A, which serves as the data processing agreement (DPA). The platform database is hosted by Xano in the Paris region (France). Some providers, in particular AI model providers, may process data outside the European Union: each of them, its role, country and applicable safeguard (European Commission standard contractual clauses) is listed in Annex A7, supplied before any processing.

The Client's prospect data is segregated by account: no other client has access to it. It is used only for the agreed lawful purposes and instructions. The Client warrants the lawfulness of the data it provides, its targeting and its campaigns; The Formula remains responsible for its own data protection obligations.

Contact: hello@the-formula.io.

6. Operation and scope of the AI Agent

Depending on the subscribed plan and the features actually enabled, the AI Agent searches for prospects among competitor and influencer audiences, profile and page followers, events and relevant interactions; it analyses accessible profile information, personalises outreach, sends invitations and messages, conducts A/B tests and qualifies the pipeline. Follows, likes and comments are interest signals, not certain purchase intent.

It generates replies, follow-ups, LinkedIn posts and comments, as well as profile analyses, monitoring and rewrites. Actions actually executed depend on the plan, technical permissions, approval mode and the Client's instructions. A generation feature does not by itself enable automatic publication. Launch follow-ups require Client approval; Scale and Elite include automatic follow-ups when enabled by the Client. Features labelled "coming soon", including email, multichannel outreach and mobile swipe approval, are not included in subscriptions until their availability is confirmed in the order or client area. Invitations and sequence messages, written from templates approved by the Client, are sent automatically; replies suggested by the AI in conversations require the Client's approval, unless the Client enables an automatic mode (automatic follow-ups, AI setter).

7. LinkedIn: technical limits and restriction risks

By default, the Agent is limited to 28 invitations per day per account. Each other action (profile visits, messages, likes, comments) has its own daily cap; overall activity is limited to 40 actions per hour, with a random delay between actions, and only during the activity hours chosen by the Client. These limits are set by The Formula as a precaution. The Client sets its activity hours and can pause the Agent at any time. When LinkedIn indicates that a limit has been reached, the Agent suspends the action concerned. The figure of 840 prospects per month is a theoretical maximum capacity, not a guaranteed volume. Part I message limits are separate. Account restrictions, active days and prospect availability may reduce activity.

LinkedIn's terms prohibit, among other things, unauthorised bots and automated methods to access its services and send messages. Complying with a ceiling does not amount to LinkedIn authorisation. The Formula is independent of LinkedIn and does not warrant its approval or the absence of account checks, restriction or closure. The Client's authorisation to The Formula does not bind LinkedIn.

The Client complies with platform terms, checks its permissions and does not run other automation tools on the same account at the same time. Circumventing access controls, objections or restrictions is prohibited. If LinkedIn disconnects an account, the Agent stops acting on that account and the Client is notified; any reported alert is reviewed with the Client before resuming. The Formula remains liable for its own fault; this clause does not shift the consequences of a malfunction attributable to The Formula onto the Client.

8. Client Obligations

Provide the information needed for calibration (offer, target, persona).

Validate or correct the actions suggested by the AI within a reasonable time: at least once a day, or within 48h on average for each message received from a prospect, and likewise for suggested comments.

Maintain an active LinkedIn connection and up-to-date infrastructure (see Part II for lifetime access). Use the system in compliance with LinkedIn's terms and applicable regulations.

9. No Results Guarantee

The Formula commits to using all necessary means for the proper functioning of the system. The contract is a best-efforts obligation, not an obligation of result, for all offers.

No minimum result (meetings, revenue, return on investment) is guaranteed, unless a guarantee is expressly stated in the quote or invoice accepted by the Client, which then sets its amount, duration and conditions. Objectives discussed during coaching programs are working objectives, not commitments of result. Results depend on factors specific to the Client: quality of the offer and persona, sector, prospect behaviour and involvement in validating suggested actions.

10. Prices, Billing and Payment

Prices are displayed in euros (€) for France and Spain and in US dollars (USD) for the English version. The currency, amount charged, billing period and taxes are shown in the order summary before ordering; the amount charged is in the billing currency selected at checkout. Prices are exclusive of taxes. Any tax due in the Client's country (e.g. VAT for EU Consumers) is added where applicable. For Business Clients established in the EU, the reverse-charge mechanism may apply.

Payment is made through the secure payment providers listed at checkout. Monthly subscriptions are paid each month; annual subscriptions are paid once, in advance, for 12 months. Subscriptions renew automatically at the end of each period (month or year) until cancelled by the Client. In the event of a payment failure, access may be suspended after notice.

For an annual subscription, The Formula informs the Client by email, no earlier than three months and no later than one month before the renewal date, of that date and of the option not to renew. If this notice is not sent to a Consumer, the Consumer may, in accordance with Article L215-1 of the French Consumer Code, cancel free of charge at any time from the renewal date; amounts paid for the period after cancellation are then refunded.

11. Governing law, complaints and disputes

These Terms are governed by French law. Mandatory consumer protection provisions applicable in the Consumer's country of residence remain unaffected.

Complaints may be sent to hello@the-formula.io with the order reference and relevant information. The parties will seek an amicable solution. Where all parties contracted in their capacity as commercial traders, the courts of Paris shall have jurisdiction, subject to the legal validity requirements for such a clause. In other cases, statutory jurisdiction rules apply. Following an unresolved prior written complaint, the Consumer may use consumer mediation free of charge under the applicable legal conditions, without prejudice to the right to bring court proceedings.

12. Contract formation, accounts and authorised persons

The Client provides accurate information, has capacity to contract and, when acting for an organisation, authority to bind it. The order summarises the plan, price, currency, taxes, billing period, duration, quotas, number of accounts, features and start date. The accepted Terms and specific conditions are supplied or made downloadable on a durable medium.

The Client connects only accounts it is authorised to use and identifies authorised persons. Each LinkedIn account remains associated with its legitimate holder. The account allowance in a plan permits neither impersonation nor sharing contrary to platform rules. The Client protects credentials, connection tokens and API keys, removes unnecessary access and promptly reports suspected unauthorised access. The Formula protects access under its control, never receives the Client's LinkedIn password and does not request passwords by message.

API and LLM integrations remain subject to the same functional scope, quotas and account permissions. Connecting an external tool may grant it access to data and actions: the Client checks those permissions before activation. No additional charge is imposed without prior information and acceptance.

13. Outreach authorisation and Client control

By connecting an account and activating a campaign, the Client authorises The Formula, for the activation period, to carry out the specifically configured outreach operations: find and qualify contacts, consult necessary information, draft and, depending on the selected mode, send invitations, messages and follow-ups, read replies necessary for follow-up and propose meetings. Publishing posts or comments requires the corresponding activation. This authorisation is limited to subscribed features and rights held by the Client.

The Client determines targets, sources, exclusions, offer information, channels and autonomy levels. When automatic sending is enabled, some actions are executed without individual prior approval. The Client reviews the configuration and results, corrects inaccurate instructions and promptly reports anomalies. The Formula follows the agreed configuration and addresses anomalies attributable to it. The Client may request a campaign stop or remove a connection through available controls or hello@the-formula.io. The Formula acts on the request without unjustified delay; actions already executed cannot always be reversed. Stopping a campaign does not by itself cancel the subscription.

Unless separately agreed in writing, the Agent has no authority to sign contracts, accept payments, grant discounts, acknowledge debts or make legal commitments on behalf of the Client. Commercial terms communicated must originate from Client instructions. This internal restriction does not guarantee that a message to a third party has no legal effect; unintended commitments must be reported immediately.

14. Lawful outreach, objections and prohibited use

The Client determines and documents the legal basis of its campaign, the categories of individuals targeted and the information to provide to them. Public availability of data, following a profile, liking or commenting does not by itself constitute consent to marketing. The rules of the relevant country and channel apply.

For B2B electronic marketing in France, the message must be relevant to the recipient's professional activity, required information must be provided, and a simple, free way to object must be available. Where prior consent is required, particularly B2C electronic marketing outside a statutory exception, it must be obtained and demonstrable before sending. The sender's true identity and the commercial nature of the approach must not be concealed. To help the Client inform prospects (Article 14 GDPR), The Formula provides a template information notice.

An objection must stop the affected solicitations. The Client provides its exclusions; The Formula implements exclusion instructions received and objections known to it within the service scope, and allows a prospect to be excluded in one click. Limited retention of data necessary for a suppression list may be required to prevent further solicitation. Any reply from a prospect stops their sequence; an explicit refusal leads to their automatic exclusion from all of the Client's campaigns, including on linked accounts, which the Client may lift.

Unlawful campaigns, harassment, fraud, discriminatory content, false identities, misused access rights, malicious software and infringement of third-party rights are prohibited. Sensitive or conviction-related data must not be used for targeting without an appropriate legal framework and technical agreement. The Client maintains the permissions required for its content and regulated activity. Outreach services do not by themselves constitute legal, financial or other regulated advice by The Formula.

15. AI outputs and content rights

AI results may contain errors, unsupported inferences or outdated information. The Client checks facts, offers, prices and claims before use and configures automation accordingly. It must not turn an AI hypothesis about an individual into an established fact. The Formula exercises the diligence required by the service sold and corrects established anomalies attributable to it.

The Client retains rights in its own content and data. It grants The Formula only the processing, reproduction and transmission rights necessary to perform the service and its instructions, for the period needed for performance and statutory obligations. Additional use of personal data, including training a model for independent purposes, cannot arise from an implied general permission in these Terms and requires an appropriate legal framework.

Subject to third-party rights and any applicable protection, the Client may use content generated for it. Originality, exclusivity and copyright protection of each output are not guaranteed. Use of the Client's name, logo or testimonial in The Formula's marketing requires separate authorisation.

15.1 Transparency about AI interaction When a person asks the Agent whether it is an AI, it confirms it. For conversations run by the Agent on its own (AI setter, messaging autopilot, automatic follow-ups) and for generated voice messages, The Formula provides the Client with a short notice of AI involvement for the first message. This notice is off by default: the Client, who chooses to use these automatic features and sends the messages under its own name, is responsible for enabling it and for informing the persons concerned where the law requires. A Client who does not enable it does so knowingly and bears the consequences in its relationship with The Formula. Sequence messages written from templates approved by the Client, and replies sent after the Client's click, are the Client's messages for which the AI serves as a drafting aid. The Client must not configure the Agent to deny its automated nature or simulate human involvement.

Each party meets applicable artificial-content marking or disclosure obligations according to its role. Drafting assistance and autonomous interaction are assessed separately.

16. Availability, maintenance and third-party services

The Formula provides a service consistent with its contractual commitments, performs appropriate maintenance and addresses incidents reported to hello@the-formula.io. The Client describes the incident without sharing authentication secrets. Priority or dedicated support included in the plan is preserved; no numerical response time or permanent availability is promised without a specific service level agreement. Maintenance interruptions may be necessary; The Formula gives advance notice where possible and limits their duration. Messaging providers, LinkedIn, calendar services and AI models may change their access, rules and availability. Messages may be filtered or rejected; main-inbox delivery, reading and replies are not guaranteed.

If an essential feature can no longer be provided, The Formula informs the Client and seeks a solution. This does not permit indefinite billing for an unperformed service or exclusion of statutory remedies. Lifetime access rights remain governed by Part II. An ordinary outage or platform decision is not automatically force majeure.

17. Suspension, termination for breach and exit

For non-payment, unlawful use, compromised access or a substantiated risk to individuals or the service, The Formula may proportionately limit the affected operations. The Client receives the reason and, where circumstances allow, time to remedy the issue. Immediate suspension is possible for a security emergency or legal obligation, with notice as soon as possible afterwards.

Except for urgency, irremediable breach or mandatory law, termination for material breach follows a formal notice remaining unremedied for 15 days. Parts III and IV retain their fixed terms and serious-breach termination rules.

Amounts due for performed services remain payable, subject to statutory refund rights, provider breach or specific terms. Suspension attributable to The Formula does not justify charging for unprovided services. On termination, data is returned or deleted under Annex A and necessary access ends. Confidentiality obligations, accrued rights and provisions needed to wind down the contract survive.

18. Liability

Each party is responsible for breaches attributable to it under applicable law. Selecting an autonomous mode or giving authorisation does not exempt The Formula from its own fault, security obligations or failure to follow accepted instructions.

In business-to-business relations only, and to the extent permitted by law, The Formula's aggregate monetary liability for proven direct loss relating to the same service is capped at the amount paid for that service during the twelve months preceding the event giving rise to liability. For one-time-paid lifetime access or coaching, the cap cannot be lower than the original price paid for that service, even if paid more than twelve months earlier. Only genuinely indirect losses are excluded; classification depends on the circumstances, not merely their label.

The cap and exclusion do not apply to wilful misconduct, gross negligence, personal injury, legally non-limitable liability or cases where they would deprive an essential obligation of substance. They do not bind Consumers or data subjects as regards their mandatory rights. Price refunds due are not limited by this cap.

For third-party claims concerning data or campaigns, the parties notify and cooperate with each other. No automatic indemnity transfers to the Client a penalty or loss caused by The Formula; recourse requires attributable breach, established loss and causation, subject to applicable law.

19. Changes, confidentiality and general provisions

Prices and features accepted at the time of ordering apply for the agreed period; for an annual subscription, the price paid is guaranteed for the 12 months. A material change for a future period is notified on a durable medium at least 30 days in advance, with its effect and cancellation options. No retroactive change reduces accrued rights or contracted lifetime access. Specific statutory obligations for digital services and Consumers remain unaffected.

The parties protect non-public information received for the contract and disclose it only to persons who need it and are bound by confidentiality. This duty continues after termination while the information remains confidential. It excludes information made public without fault, lawfully obtained from a third party or independently developed; legally compelled disclosure is limited to what is necessary. Force majeure is assessed under Article 1218 of the French Civil Code. The affected party notifies the other, mitigates consequences and resumes performance as soon as possible; permanent impossibility has the statutory consequences, including refunds due. Invalidity of a clause does not invalidate the remaining provisions if the contract can continue.

Expressly accepted specific terms prevail for their subject matter, followed by the relevant offer-specific provisions, then the common provisions. Annex A prevails for entrusted personal data processing. Action and consent logs may be used as evidence, subject to integrity and without conclusive evidentiary status. Both language versions describe the same commitments; ambiguity cannot reduce a Client's mandatory rights.

20. Consumer rights: withdrawal and statutory warranties

Where the Client has a statutory withdrawal right, the period is generally 14 days from conclusion of a services contract. An unambiguous withdrawal notice may be sent to hello@the-formula.io or the provider's address, including by using Annex B. Statutory extensions for failure to provide information remain applicable.

Early performance of a service requires an express request. If the Consumer subsequently withdraws, only an amount proportionate to the service actually provided may be payable when statutory information and express-request requirements are met. Merely accessing the tool or attending the first call does not automatically remove the withdrawal right. Loss of that right for fully performed services requires the statutory conditions; digital content not supplied on a tangible medium has specific conditions, including prior express consent, acknowledgement of the loss and confirmation on a durable medium. General acceptance of these Terms does not replace those formalities.

Statutory refunds are made within 14 days of notification of withdrawal using the original payment method unless expressly agreed otherwise without charge, less only amounts lawfully due. Business Clients have no general withdrawal right, subject to statutory exceptions, including certain off-premises contracts. The statutory conformity warranty for digital content and services applies where due. For continuous supply, it covers defects arising during the contractual supply period; the corresponding statutory regime applies to one-off supply. The Consumer may request conformity free of charge and, in the cases provided by law, a price reduction or termination. Updates necessary for conformity are supplied under statutory conditions.

Part I — Self-service subscriptions (monthly or annual)

1. Plans and pricing

Three subscriptions, billed either monthly (no commitment) or annually (12 months paid in advance): Launch, Scale and Elite. The plan previously named Growth is now called Scale, with no change in content or price for current subscriptions. Taxes are handled under Article 10.

PlanMonthly — EUR (France / Spain)Monthly — USD (English)Annual — EURAnnual — USD
Launch€97 / month$107 / month€948 / year (i.e. €79 / month)$1,068 / year (i.e. $89 / month)
Scale€197 / month$247 / month€1,968 / year (i.e. €164 / month)$2,460 / year (i.e. $205 / month)
Elite€597 / month$697 / month€5,964 / year (i.e. €497 / month)$6,948 / year (i.e. $579 / month)

The monthly equivalent of annual plans is shown for comparison; the annual price is billed in a single payment.

PlanLinkedIn messages / monthConnected LinkedIn accounts
Launch4001 account
Scale800Up to 2 accounts
EliteUnlimitedUp to 3 accounts

The order summary specifies whether quotas are shared across accounts or available per account, message counting and the reset date; no multiplication of quotas should be assumed. For annual plans, message quotas remain monthly. The capacity of 840 contacted prospects per month is subject to Article 7; it is not a commitment to deliver that volume.

2. Plan contents

Launch includes API access to control the Agent through a compatible LLM; automated LinkedIn outreach subject to Article 7; 400 LinkedIn messages per month; AI-generated replies; follow-up suggestions requiring approval before sending; meeting booking through a calendar link; continuous interest-signal qualification and automatic pipeline sorting; Skool access to group-coaching replays; LinkedIn post and comment generation, competitor monitoring, post rewriting and profile analysis; unlimited campaigns and personas.

Scale includes all Launch features, with 800 monthly messages, connection of two LinkedIn accounts, automatic follow-ups, a monthly performance report and priority access to new features.

Elite includes all Scale features, with unlimited messages, connection of three LinkedIn accounts, dedicated priority support and beta access to new features.

"Unlimited" means no plan-specific monthly message cap for Elite; the technical limits of Article 7, platform rules, permissions and the prohibition of abusive use still apply. It does not guarantee business results. "Coming soon" features are governed by Article 6. Included replays are distinct from individual calls and live group coaching in Parts III and IV.

3. Three-day free trial and withdrawal

The subscription free trial lasts 3 days. Before activation, the summary identifies the selected plan, its billing period, trial end date and time, price and any start of payment. If automatic conversion was expressly accepted, billing begins after the trial unless cancelled before its end. Without acceptance of a paid order, no billing can arise merely from using a free trial.

The Client may cancel from the client area. The three-day commercial trial does not replace a statutory withdrawal right where applicable: see Article 20 and Annex B.

4. Cancellation

Cancel at any time from the client area, without giving a reason. For a monthly subscription, cancellation takes effect at the end of the current month. For an annual subscription, cancellation stops renewal: access remains open until the end of the paid year. No pro-rata refund is due for a started period, except for applicable statutory rights (including the last paragraph of Article 10), non-performance giving rise to restitution or more favourable terms. The cancellation confirmation states the access end date and cessation of future charges. Data return is covered by Annex A.

5. Changing plans

The Client may switch between plans, or from monthly to annual billing, from the client area. Switching from annual to monthly billing takes effect at the end of the paid year. The price, effective date and any adjusted amount are shown before confirmation; no additional amount is charged without the Client's agreement. When moving to a plan with fewer accounts, the Client chooses which accounts to keep.

Part II — Lifetime Access (launch offer)

Lifetime access was a launch offer and is now closed. Its specific terms (one-time payment, infrastructure subscription, right of withdrawal, service continuity, optional upgrades) are provided to the clients concerned with their order and apply to those clients only.

Part III — Essential Offer (2-month program)

1. Duration and Price

Duration: 2 months from the agreed start date. Afterwards, access may be maintained through a Part I subscription, monthly or annual.

2. Offer Contents

2 months of access to The Formula AI prospecting system.

Onboarding call (45 min): calibration, target definition, launch of first campaigns.

Follow-up call at D+15 (30 min): offer and persona adjustments, KPI review, Q&A.

Final review call at D+60 (30 min): KPIs, revenue generated, improvements and recalibration. Access to the training site (videos, resources).

Access to the private community and 1 group coaching per week (setting and closing).

Answers to community questions from sales experts.

3. Client Obligations

Provide calibration information; be available for the three calls; validate or correct the AI's actions at least once a day (48h on average per message); comply with LinkedIn's terms.

4. No Results Guarantee

Best-efforts obligation, not an obligation of result. No minimum result is guaranteed; results depend on factors specific to the Client.

5. Withdrawal and Refund

Where applicable, withdrawal is governed by Article 20 of the Common Provisions and Annex B. Starting the service or a call does not by itself remove that right. Outside withdrawal or other applicable statutory rights, no discretionary refund is provided after coaching starts, except for serious, proven breach by The Formula. This rule does not reduce the Client's statutory remedies.

6. Termination

Contract concluded for a firm 2-month term, non-cancellable during this period except for serious fault. Afterwards, any chosen subscription is cancelled from the client area.

Part IV — Premium Offer (3-month program, Elite level included)

1. Duration and Price

Duration: 3 months (90 days) from the agreed start date. The program price is stated in the order; it includes the Elite subscription for the first 3 months. The subscription then continues under Article 7.

2. Offer Contents

3 months of access to the personalised AI Agent, configured with the Client's personas and LinkedIn messaging, at Elite plan level.

Up to 3 connected LinkedIn accounts for the 3 months, each corresponding to a separate The Formula account.

All Elite features, unlimited, for the 3 months: messages, campaigns, personas, automatic follow-ups, content, within the limits of Article 7 and as defined in Part I Article 2.

5 individual video sessions:

Call 1 — Onboarding (Week 1, 45 min): calibration, offer, targets, campaign launch.

Call 2 — Advanced setup (Week 2, 45 min): offer, personas and message improvements.

Call 3 — Acceleration (early Month 2, 45 min): high-performing campaigns, setting, closing-call review.

Call 4 — Conversion & Scale (early Month 3, 45 min): action plan towards a €5,000 monthly revenue objective, with no commitment of result (Article 9).

Call 5 — Review (end of Month 3, 30 min): KPIs, revenue generated, recalibration and choice of next steps (Article 7).

Group coaching: 1 session / week (setting and closing).

Access to the training platform (irresistible offer, setting, closing, personas, competitors, AI prompts). Access to the private Skool community and expert answers.

2.1 Missed Sessions Any individual coaching session cancelled less than 24h in advance or not attended is deemed completed and deducted from the package.

3. Client Obligations

Provide calibration information; be available for the five calls; validate or correct the AI's actions at least once a day (48h max per message on average); comply with LinkedIn's terms and Article 12 for each connected account.

4. No Results Guarantee

Best-efforts obligation, not an obligation of result. No minimum result (meetings, signed contracts, revenue) is guaranteed; results depend on factors specific to the Client.

6. Termination

The coaching program is concluded for a firm 3-month term, non-cancellable during this period except for serious fault by either party. The subscription that continues from month 4 has no fixed-term commitment and can be cancelled at any time from the client area, effective at the end of the current month. The Client may cancel before the first month-4 charge, in which case nothing is charged.

7. From month 4: the subscription continues

From the first day of month 4, the Elite subscription continues automatically at the Part I monthly price in force, with no fixed-term commitment, unless the Client has chosen another plan or cancelled before that date. This continuation, its price and the first charge date are shown and accepted when the program is ordered. No later than 14 days before that first charge, The Formula emails the Client a reminder of the date, the amount and how to change plan or cancel. Before that date, or at any time afterwards, the Client can, from the client area:

ChoiceWhat is includedMonthly (excl. tax)Annual (excl. tax)
Keep Elite (default)All features unlimited, up to 3 accounts€597 / $697€5,964 / $6,948
Switch to Scale800 messages / month, automatic follow-ups, up to 2 accounts€197 / $247€1,968 / $2,460
Switch to Launch400 messages / month, 1 account€97 / $107€948 / $1,068
CancelNo charge from month 4——

Prices exclude taxes and are the Part I prices in force on the charge date. The chosen plan determines both the number of accounts and the features: only Elite keeps unlimited messages and all the features the Client had during the program. When the new plan includes fewer accounts, the Client indicates which ones to keep; the Agent stops acting on the others. If the Client cancels, the Agent stops at the end of the paid period and data remains available until account deletion, in accordance with Annex A.

8. Earlier orders

The ROI guarantee is no longer part of the standard Premium offer for orders placed from 19 October 2026. It may be granted case by case; it then exists only if it appears in the quote or invoice accepted by the Client, with its conditions. Each earlier order remains governed by the terms the Client accepted when ordering: a Client whose order included a guarantee keeps it, with its eligibility conditions; a Client whose order did not include one does not benefit from it.

Part V — Custom Enterprise support

1. Contractual scope

Enterprise support is subject to a quotation specifying covered accounts and users, selected Elite features, AI integration support, follow-up frequency, price, duration and any service levels. The number of accounts must be expressly stated in the quotation. This offer replaces neither lifetime access nor the Essential or Premium offers. A generic average-ROI statement does not create a guarantee of result.

Annex A — Processing data on behalf of the Client (DPA)

A1. Parties, purpose and instructions

This Annex is the data processing agreement within the meaning of Article 28 GDPR. It governs processing entrusted by the Client identified in the order to The Formula FZ-LLC, identified in Article 1, to perform outreach and related features. It applies throughout the service and the period necessary to close it. It does not govern processing whose purposes The Formula determines independently, which is covered by its privacy notice.

The Client documents its instructions through the order, configuration, written requests and exclusions. The Formula processes data only on those instructions, including transfers, unless required by law applicable to it; it gives prior notice unless legally prohibited. It immediately flags instructions it considers contrary to data protection law and suspends the affected instruction pending clarification.

A2. Processing description

Purposes: find and qualify prospects, personalise and execute authorised outreach, track replies, manage meetings, content and exclusions, and secure and maintain the service.

Operations: authorised collection or import, consultation, organisation, analysis and qualification, generation, transmission, storage, correction, extraction and deletion. Data subjects are the Client's authorised users, prospects and professional contacts, and persons whose exchanges are lawfully necessary for the campaigns.

Data: professional identity and contact details, profile links and relevant profile information, company and role, interactions and interest signals, messages, content, contact preferences, meeting data, action logs and necessary technical data. Categories are limited to enabled features. This Annex does not authorise collection of sensitive, conviction-related or children's data. Contact details that a LinkedIn member makes visible only to their connections are used only for the Client connected with them and are never disclosed to another client; phone numbers, postal addresses and dates of birth are not retained.

A3. Confidentiality, security and incidents

The Formula limits access to authorised persons bound by confidentiality and implements technical and organisational measures appropriate to the risks, described in A7: data segregated by account and checked on every request, encryption in transit, files stored with private access, administrative access restricted to two people for support and diagnosis, backups and technical logs.

The Formula notifies the Client without undue delay after becoming aware of a personal data breach. The notification provides available information on its nature, affected data and individuals, likely consequences, measures taken and contact point; additional information is supplied progressively. The Formula cooperates in investigation and corrective action. The Client decides on notifications for which it is responsible, including to authorities and individuals, with The Formula's assistance.

A4. Subprocessors and international transfers

The Client authorises the subprocessors listed in A7. The Formula gives written notice at least 30 days before an addition or replacement and allows the Client to raise a reasoned data-protection objection. The parties seek a solution; affected processing with the new provider does not start before the objection is resolved or appropriate agreement is reached.

The Formula imposes equivalent data protection duties on subprocessors and remains responsible to the Client for their performance. Any transfer or access outside the European Economic Area, including from the United Arab Emirates and to AI providers, is covered by a valid GDPR Chapter V mechanism, in principle the European Commission standard contractual clauses, supplemented by additional measures where necessary.

For transfers of the Client's data to The Formula, established outside the European Economic Area, the standard contractual clauses adopted by Commission Implementing Decision (EU) 2021/914, Module 2 (controller to processor), are incorporated by reference into this Annex, of which Articles A1 to A7 form the appendices. In case of conflict, those clauses prevail.

A5. Assistance, oversight and individuals' rights

The Formula helps the Client respond to individuals' requests, secure processing, conduct impact assessments and undertake necessary prior consultations. Requests received directly are promptly passed to the Client's designated contact; no substantive reply is made on its behalf without instructions, except where legally required.

The Formula makes available the information necessary to demonstrate compliance and allows audits, including inspections, by the Client or its mandated auditor, on proportionate terms protecting security and other parties' data. Such arrangements cannot prevent a legally or regulatorily required review.

A6. Return, deletion and retention

At the end of processing, at the Client's choice, The Formula returns entrusted personal data in a usable format and deletes copies, or deletes the data, unless retention is legally required, within the timeframes in A7. Transitional copies remain protected and cannot be reused for other purposes.

Data needed for billing, legal claims or statutory duties is separately identified and retained only for justified purposes and periods. Deletion or cancellation must not remove suppression records needed to prevent subsequent unlawful outreach. A written certificate of deletion is provided on request.

A7. Operational processing information

The Formula's data protection contact: hello@the-formula.io. The Client's contact is designated in the order. Contact details of an establishment or representative in the European Union are provided as soon as one is designated.

Tools the Client connects itself (HubSpot, iClosed, its own xAI or other AI provider key) are governed by its own contract with those providers. The payment provider (Whop) acts as an independent controller for billing.

AI providers are used through their APIs under standard terms, with no training on data sent. They retain requests for abuse detection for a limited period: 30 days at OpenAI and Anthropic, 55 days at Google. The Client may use its own API key (BYOK) for sequence personalisation and conversation analysis; those calls are then governed by its own contract with the provider.

Retention: prospects, conversations and messages are kept as long as the Client's account exists. On account deletion, started by the Client from its settings, the subscription is cancelled, connected accounts are disconnected at Unipile and the account's data is purged from the database (prospects, conversations, messages, campaigns, posts, AI logs). Backups are erased at the end of their rotation cycle. Technical logs are purged automatically: 90 days for AI calls, 30 days for errors. A minimal record of the end of the relationship is kept for 3 years. The Client may obtain an export of its data on request at hello@the-formula.io.
